STOA is supervised by its two shareholders, Caisse des Dépôts and AFD, and two independent board members.
Our Shareholders
Caisse des Dépôts and Agence Française de Développement (AFD) are both committed financial institutions contributing to the transition to a fairer, sustainable and resilient world. Our Board of Directors approves our investments, acquisitions and disposals. It also approves our annual budget and our mid-term trajectory.

Committees
The Board of Directors is supported by four committees.
- The Investment Advisory Committee gives an informed opinion on our investment opportunities before they are presented to the Board of Directors.
- The Accounts and Risks Committee monitors our financial reporting processes. It supports and reviews the implementation of our internal control procedures through specific assignments.
- The Appointments and Remuneration Committee makes recommendations on changes in our senior management, its members and the conditions of their remuneration.
- The Internal Risk and Compliance Management Committee monitors and analyses changes to our internal control and compliance mechanism.
My role as an independent board member is to contribute to the strategic and investment decisions of STOA’s Board particularly through my in-depth knowledge of African markets.

Purpose Monitoring Committee
The monitoring of commitments related to our purpose is overseen by a dedicated committee. This committee includes representatives from our shareholders, independent experts specialising in CSR and in our areas of operation, and members of our team. It meets twice a year.
